Terms of Service

1. Acceptance of Terms

By accessing or using Korvai (the “Service”), a product of Pakruli Labs, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Korvai is a resource planning tool that helps teams plan, track, and optimize how people are allocated across projects. The Service includes features for timeline-based resource planning, scenario comparison, timesheet tracking, capacity reporting, and team collaboration. We may update, modify, or discontinue features of the Service at any time.

3. User Accounts

Access to the Service requires an account. Accounts are created through an invitation from your organization administrator or through our waitlist approval process. You are responsible for:

• Maintaining the security of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

Authentication is handled via magic link (email-based one-time login). You must use a valid email address that you have access to.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated means to access the Service without our prior written consent
• Share your account access with unauthorized individuals
• Upload or transmit malicious code, viruses, or harmful data

5. Data Ownership

You own your data. All resource plans, allocations, timesheet entries, project configurations, and other content you create within the Service remain your property (or your organization's property). We do not claim ownership of your data. We store and process your data solely to provide the Service to you.

You may export your data at any time using the built-in export features. Upon account termination, we will make your data available for export for a reasonable period before permanent deletion.

6. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is owned by Pakruli Labs and is protected by intellectual property laws. These Terms do not grant you any right to use the Korvai name, logo, or other trademarks without our prior written consent.

7. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Pakruli Labs and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service, whether based on warranty, contract, tort, or any other legal theory.

Our total aggregate liability for all claims related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

9. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free or that defects will be corrected.

10. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion, with or without notice. You may stop using the Service at any time. Upon termination, your right to use the Service ceases immediately, though provisions that by their nature should survive (such as data ownership, limitation of liability, and governing law) will remain in effect.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. If you disagree with any changes, you should discontinue use of the Service.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Minnesota.
